		<Abstract>Bailsman is commitment to summon party .This commitment on suspect of some, cause dominate on the third-party .For this reason, some have questioned the validity of contract, other groups have attempted to justify the validity of the contract with Using of joint and several liability and advocacy. In Sunni jurisprudence, the first tool used and in Shiie, the second tool. But the truth is that this contract is valid and does not conflict with the rights of third party. But conversely, retains his freedom.
 &lt;br /&gt; In this paper, contract of bail was regarded as Contracts for the Benefit of Third Parties that creates an advantage for the party without the need for acceptance.

			<OtherAbstract Language="FA">&lt;strong&gt;کفالت، تعهد کفیل به احضار مکفولٌ‌عنه در برابر و پیشگاه مکفولٌ‌له است؛ تعهدی که به گمان برخی، سبب ولایت کفیل بر مکفولٌ‌عنه می‌شود و معتبر نخواهد بود. برای همین در فقه اهل سنت، با بهره‌گیری از نهاد تضامن در طلب، کفیل را همانند مکفولٌ‌له، دارندۀ حق دانسته‌اند تا برای توجیه ولایتش بتوان به حقی استناد کرد که بر مکفولٌ‌عنه دارد. در فقه شیعه نیز، کفیل را وکیل مکفولٌ‌له تلقی کرده‌اند تا تعهدش را در راستای اعمال حقوق موکل (مکفولٌ‌له) بدانند. به گمان نگارنده، بر هر دو توجیه، نقدهایی وارد است. برای همین و در این نوشتار، تعهد کفیل، از این جنبه که سبب رهایی مکفولٌ‌عنه از اقتدار و سلطۀ مکفولٌ‌له می‌شود، تعهد به نفع ثالث دانسته‌ شد؛ تعهدی که در هنگام ایجادش، به قبول ثالث نیازی نیست و با اصل عدم ولایت نیز ناسازگار نخواهد بود.&lt;/strong&gt;
